Welcome to Menuros. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Menuros ("Company," "we," "us," or "our") governing your access to and use of the Menuros platform, including our website, mobile applications, and all related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Platform.

Important: These Terms apply to all users of Menuros, including restaurant owners, staff, and customers who interact with restaurant pages through our Platform.

2. Description of Service

Menuros provides an all-in-one platform for restaurants to create and manage digital menus, handle reservations, and engage with customers. Our services include:

  • Digital menu creation and management
  • Online reservation systems
  • QR code generation for menu access
  • Customer relationship management
  • Analytics and reporting tools
  • Custom branding options
  • Integration with third-party services

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

3. User Accounts

To use certain features of the Platform, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Restaurant Owners' Responsibilities

If you create a restaurant account on Menuros, you agree to:

  • Provide accurate information about your restaurant
  • Maintain current menu items, prices, and business hours
  • Comply with all applicable laws and regulations
  • Handle customer data in accordance with privacy laws
  • Process reservations in a timely and professional manner
  • Ensure your content does not infringe on third-party rights
  • Accept responsibility for all user-generated content on your pages
Warning: Restaurant owners are solely responsible for the accuracy of their menu information, pricing, and all content displayed on their Menuros pages.

5. Customer Interactions

Menuros facilitates interactions between restaurant owners and customers but does not participate in these interactions. We are not responsible for:

  • The conduct of restaurant owners or customers
  • The accuracy of information shared between parties
  • Any disputes arising from reservations or orders
  • Quality of food, service, or experience at restaurants

Any issues or disputes should be resolved directly between the parties involved.

6. Payment Terms

Some features of the Platform require payment of fees. By subscribing to a paid plan, you agree to:

  • Pay all fees associated with your selected plan
  • Provide valid payment information
  • Authorize us to charge your payment method for all fees
  • Abide by the terms of your selected pricing plan

Fees are non-refundable unless otherwise specified. We reserve the right to change fees at any time with reasonable notice.

Payments: All payments are processed through secure third-party payment processors. We do not store your payment information directly.

7. Intellectual Property

The Platform and all its content, features, and functionality are owned by Menuros and are protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute our proprietary content
  • Use our trademarks or branding without prior written consent
  • Reverse engineer or decompile any part of the Platform
  • Remove any copyright or proprietary notices

8. User Content

You retain ownership of content you upload to the Platform ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Use, display, and reproduce your content on the Platform
  • Modify and adapt your content for display purposes
  • Use your content for marketing and promotion (with attribution)

You represent and warrant that you own or have the right to use all User Content you upload, and that such content does not infringe on any third-party rights.

9. Prohibited Uses

You may not use the Platform for any illegal purpose or in any way that violates these Terms. Prohibited activities include:

  • Posting false, misleading, or defamatory content
  • Uploading malicious code, viruses, or harmful content
  • Attempting to gain unauthorized access to the Platform
  • Interfering with the operation of the Platform
  • Engaging in any activity that could harm the Platform or its users
  • Violating any applicable laws or regulations
  • Harassing, abusing, or harming other users
  • Creating multiple accounts to evade restrictions
Violation: Any violation of these prohibited uses may result in immediate termination of your account and may be reported to law enforcement authorities.

10. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Violation of any applicable laws or regulations
  • Non-payment of fees
  • Requests by law enforcement or government agencies
  • Extended inactivity of your account

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which should survive termination shall survive.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUROS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF:

  • YOUR USE OR INABILITY TO USE THE PLATFORM
  • ANY CONTENT ON THE PLATFORM
  • ANY INTERACTIONS BETWEEN USERS
  • ANY SERVICES OR PRODUCTS PROVIDED BY THIRD PARTIES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ERROR-FREE OR UNINTERRUPTED SERVICE

WE DO NOT GUARANTEE THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE AT ALL TIMES.

13. Indemnification

You agree to defend, indemnify, and hold harmless Menuros and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debts arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your User Content
  • Your interaction with other users

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Dublin, Ireland.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on the Platform
  • Updating the "Last Updated" date at the top
  • Providing notice through the Platform for significant changes

Your continued use of the Platform after such changes constitutes acceptance of the new Terms.
